Affiliate Agreement

This Affiliate Agreement ("Agreement") governs participation in the Share a Biz affiliate/referral program ("Program"), operated by Share a Biz LLC ("Share a Biz," "we," "us"). By enrolling as an affiliate ("you," "Affiliate"), you agree to this Agreement, the Terms of Service, and the Privacy Policy.

Some affiliates are auto-enrolled (e.g., existing businesses opting in); others (e.g., professional affiliate marketers) must apply and be approved at our sole discretion. We may decline or revoke participation at any time.

You receive a unique referral link. When a business signs up through your link and meets the qualifying conditions, you may earn a reward. Attribution uses last-click within a 60-day window.

a. Rewards are earned only when a referred business becomes active/qualifies as described in the Program (not merely on signup), and are subject to a holding period (e.g., 30 days) before becoming payable.

b. Reward amounts are as published in the Program and may differ by affiliate type and by signup type (free vs. paid plan), including volume-based tiers for approved professional affiliates. We may change reward amounts prospectively.

c. Payouts are made once your balance reaches the minimum payout threshold. You are responsible for providing accurate payout details and for all taxes on rewards earned. We may require tax information and issue tax forms as required by law.

You may not: refer yourself, your own accounts, or fake/fraudulent businesses; use spam, misleading claims, or deceptive advertising; bid on or misuse Share a Biz trademarks in paid search; use bots, fake clicks, incentivized signups, or any manipulation of attribution; misrepresent your relationship with Share a Biz; or violate any law (including the FTC Act and CAN-SPAM). We may withhold, reverse, or forfeit any reward we reasonably believe is the result of fraud, abuse, or violation of this Agreement, and may terminate your participation.

You must clearly and conspicuously disclose your affiliate relationship with Share a Biz wherever you promote it, as required by FTC guidelines. You are responsible for the legality and accuracy of your own marketing.

You are an independent participant, not an employee, agent, partner, or representative of Share a Biz. You have no authority to bind or make commitments on behalf of Share a Biz.

Either party may terminate participation at any time. Upon termination, unpaid rewards that were validly earned and are not subject to fraud review will be paid per the normal schedule; rewards tied to violations or fraud may be forfeited.

The Program is provided "as is." We do not guarantee any earnings. Our liability under this Agreement is subject to the same limitations as in the Terms of Service.

We may update this Agreement; continued participation means acceptance. This Agreement is governed by Minnesota law, with venue in Minnesota courts.
