Terms of Service

These Terms of Service ("Terms") are a binding agreement between you ("you," "your," or "Business") and Share a Biz LLC ("Share a Biz," "we," "us," or "our"), a Minnesota limited liability company, governing your use of the Share a Biz platform, website, and services (the "Platform"). By creating an account or using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.

Share a Biz is a referral network that lets local service businesses refer customers and jobs to one another and earn commissions on closed jobs. Share a Biz is a technology platform only. We are not a party to any agreement, job, or transaction between businesses or between a business and a customer. We do not perform, guarantee, supervise, or take responsibility for any work, service, or job referred or performed through the Platform.

You must be at least 18 years old, operate a legitimate business, and have authority to enter this agreement on behalf of your business. You agree to provide accurate, current information and to keep it updated.

The Platform offers tiered plans: Starter (free), Pro, and Elite. Each plan has a platform fee (commission rate) and sending limits as described on our pricing page and as may be updated from time to time. Current platform fees are: Starter 25%, Pro 10%, and Elite 5% of the commission on a closed referral. We may change plans, fees, limits, and features with notice; continued use after changes means you accept them.

a. When you refer a customer or job to another business, and that job closes, the receiving business owes a commission to the referring business, and Share a Biz retains a platform fee (per the receiving business's plan).

b. The receiving business is responsible for accurately reporting whether a job closed and its value. You agree to report job outcomes and values honestly and promptly. Misreporting, concealing closed jobs, or circumventing the Platform to avoid commissions is a material breach of these Terms.

c. Commissions are calculated based on the job value and the applicable plan's rate.

d. You authorize Share a Biz and its payment processor to charge your saved payment method for commissions owed and platform fees when a referred job closes.

a. Payments are processed through Stripe, including Stripe Connect. By using the Platform's payment features, you agree to Stripe's terms. You are responsible for maintaining a valid payment method and, if receiving payouts, completing Stripe Connect onboarding.

b. You authorize automatic charges to your payment method on file for commissions and fees owed.

c. You are responsible for all taxes on income you earn through the Platform. Share a Biz may issue tax forms (e.g., 1099) as required by law.

d. Refund policy. Paid subscription plans (Pro, Elite, and Elite Plus, monthly or annual) come with a 14-day money-back guarantee: if you request a refund within 14 days of your initial paid subscription charge, we will refund that charge in full. The one-time Elite Plus Setup & Optimization fee is non-refundable once setup work has begun (this includes Google Business Profile setup/optimization, website optimization, Share a Biz page optimization, or SEO/GEO onboarding activity on your account). Referral commissions, platform fees on closed jobs, and other transaction fees are not covered by the money-back guarantee. Other refund requests and disputes are handled per Section 12.

You agree to: operate lawfully and honestly; hold all licenses, insurance, and permits required for your trade; provide accurate information about your business and service areas; honor any discount or offer you choose to extend to referred customers; communicate professionally with referred customers and partner businesses; obtain proper consent before sending SMS or other electronic messages to customers; and not misuse the Platform.

You may not: misrepresent your business, services, or job outcomes; conceal closed jobs or job values to avoid commissions; circumvent the Platform to avoid fees; submit false, fraudulent, or spam referrals; send text messages or other communications without required consent; harass or defraud other businesses or customers; collect or misuse customer data obtained through the Platform for any purpose other than fulfilling the referred job; violate any law; or interfere with the Platform's operation.

When you receive a referral, you receive personal information about a customer. You agree to use that information only to contact and serve that specific customer for that specific job, to comply with all applicable privacy and anti-spam laws, and not to sell, share, or reuse it for unrelated marketing, SMS campaigns, or telemarketing. You are an independent controller of any customer data you receive and are responsible for your own compliance.

a. When you use the Platform to send a referral text message, you represent and warrant that the consent is first-party: you have obtained the recipient's prior express consent to be contacted by text message about that referral, and the recipient is your own customer who has directly contacted your business.

b. You must honor any opt-out request immediately, including any reply of STOP, and must not send further referral texts to a number that has opted out. You may not use the Platform to send unsolicited marketing or promotional text messages.

c. Share a Biz does not sell or share mobile phone numbers or SMS opt-in/consent data with third parties or affiliates for marketing purposes. We share phone numbers only with the receiving business as needed to fulfill the referral and with our SMS delivery provider (Twilio) to send the message.

d. Message frequency varies. Message and data rates may apply depending on the recipient's carrier and plan. Share a Biz is not responsible for carrier charges. Recipients may reply STOP to opt out at any time and HELP for help.

Share a Biz does not guarantee any number of referrals, leads, jobs, income, or results. Referrals and outcomes depend on businesses and customers, not on us. The Platform is provided "as is" and "as available."

Disputes about a job, its value, payment, or quality are between the businesses (and/or the customer) involved. Share a Biz is not responsible for resolving them and is not liable for them. We may, at our sole discretion and without obligation, provide records (such as referral and status history) to help resolve a dispute, and may suspend accounts engaged in bad-faith conduct.

You may close your account at any time. We may suspend or terminate your access at any time, with or without cause, including for breach of these Terms or suspected fraud. Obligations that by their nature should survive (including owed commissions/fees, indemnification, and liability limits) survive termination.

To the fullest extent permitted by law: Share a Biz disclaims all warranties, express or implied. Share a Biz is not liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or business interruption. Share a Biz's total liability for any claim relating to the Platform will not exceed the greater of (a) the total fees you paid us in the three (3) months before the claim, or (b) $100. Some jurisdictions limit these exclusions; they apply to the extent permitted.

You agree to indemnify and hold harmless Share a Biz LLC and its members, officers, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Platform, your work or jobs, your handling of customer data, or your violation of these Terms or any law.

We may update these Terms. We will post the updated version with a new "Last updated" date and, where appropriate, notify you. Continued use after changes means you accept them.

These Terms are governed by the laws of the State of Minnesota, without regard to conflict-of-law rules. Any dispute will be brought in the state or federal courts located in Minnesota, and you consent to that jurisdiction.
